Terms of Service

By creating an account on, accessing, or using Catalyst (the “Platform”), operated by Catalyst (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Platform prior to the change becoming effective. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms.

You must be at least 18 years old and capable of forming a binding contract to use the Platform. If you are using the Platform on behalf of a company, fund, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You may not use the Platform if you are located in, or a citizen or resident of, any jurisdiction where use of the Platform would be prohibited by applicable law, regulation, or sanctions. You are solely responsible for ensuring that your use of the Platform complies with all applicable laws in your jurisdiction.

To access the Platform, you must create an account by providing accurate and complete information. You will select a role during registration—either Startup (founder seeking funding) or Investor (VC, angel, or fund seeking deal flow).

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us at hello@catalyst.xyz if you suspect unauthorized use of your account.

You may not create multiple accounts, share your account credentials with third parties, or transfer your account to another person without our prior written consent.

Catalyst is a Web3 fundraising platform that connects startups with venture capital firms and angel investors. The Platform provides the following services, which may evolve over time:

• PitchScan AI — AI-powered pitch deck analysis and scoring
• Investor Database — searchable directory of crypto-native VCs and angel investors
• Fundraising CRM — pipeline tracking, outreach management, and intro requests
• Auto-Outreach — automated email campaigns to investors
• Warm Intros — facilitated introductions to relevant investors
• Tokenomics Studio — token distribution design, vesting schedules, and stress testing
• Competitive Intelligence — competitor monitoring and market insights
• Deal Flow — AI-curated and scored startup deal flow for investors
• Early Signals — social and on-chain signal tracking for investors
• Legal Services — third-party legal services facilitated through our partner Legal Nodes

Catalyst offers both free and paid subscription tiers. Paid subscriptions are billed through Stripe and may be offered on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge the payment method on file at the applicable rate.

Certain features on the Platform operate on a credit-based system. Credits may be used for services such as pitch deck analyses, warm introductions, and investor contact reveals. Credits are non-transferable, non-refundable, and expire according to the terms of your subscription plan.

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. We do not offer refunds for partial billing periods unless required by applicable law.

When you upload a pitch deck to the Platform, the document is processed by our AI analysis systems, including third-party AI services (such as OpenAI and PitchScan), to generate scores, feedback, highlights, and risk assessments. By uploading a pitch deck, you consent to this processing.

You retain full ownership of the content in your pitch deck. By uploading, you grant Catalyst a limited, non-exclusive license to process, analyze, store, and display your pitch deck content in connection with providing the Platform services. If you choose to publish your startup to deal flow, selected information from your deck and profile may be visible to investors on the Platform.

AI-generated analysis is provided for informational purposes only. It does not constitute investment advice, financial advice, or a recommendation. AI outputs may contain inaccuracies, and you should not rely solely on them for business decisions.

The Platform enables startups to send automated email campaigns to investors. When using this feature, you agree to:

• Comply with all applicable anti-spam legislation, including CAN-SPAM, GDPR, and equivalent local laws
• Send only truthful, non-misleading communications
• Respect opt-out requests and unsubscribe mechanisms
• Not use the outreach tools for purposes unrelated to fundraising or investor relations

We reserve the right to suspend or terminate your access to outreach features if we determine, in our sole discretion, that you are using them in a manner that violates these Terms or applicable law.

The Platform provides access to investor contact information and enriched profile data. This data is provided solely for the purpose of legitimate fundraising outreach through the Platform. You agree not to:

• Scrape, bulk-download, or systematically extract investor data from the Platform
• Sell, redistribute, license, or share investor data with any third party
• Use investor data for any purpose unrelated to your fundraising activities on the Platform
• Harass, spam, or send unsolicited communications outside the Platform’s outreach tools

Contact reveals consume credits. Revealed information is subject to the same usage restrictions described above.

All content, features, functionality, design, and technology of the Platform (excluding user-submitted content) are owned by Catalyst and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without our prior written consent.

You retain ownership of all content you submit to the Platform, including pitch decks, company profiles, and communications. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, display, and store such content as necessary to provide and improve the Platform services.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Provide false, misleading, or fraudulent information in your profile, pitch deck, or communications
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with the operation, security, or integrity of the Platform
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or related systems
• Use automated tools (bots, scrapers, crawlers) to access or interact with the Platform except as expressly permitted
• Manipulate AI analysis results, investor scores, or platform metrics
• Circumvent any credit, rate-limiting, or access control mechanisms

Catalyst does not provide investment advice. The Platform is a technology tool that facilitates connections between startups and investors. Nothing on the Platform—including AI analysis, scoring, deal flow curation, or any other feature—should be construed as investment advice, a recommendation to invest, or an endorsement of any startup, project, or token.

Investments in startups, particularly in the Web3 and cryptocurrency space, are inherently risky and speculative. You may lose some or all of your investment. You should conduct your own due diligence and consult qualified financial, legal, and tax advisors before making any investment decision.

Catalyst does not verify the accuracy of information provided by startups, guarantee the performance of any investment, or act as a broker-dealer, investment advisor, or intermediary.

The Platform integrates with and may link to third-party services, including but not limited to Legal Nodes (legal services), Stripe (payments), and various data providers. These services are governed by their own terms and privacy policies. Catalyst is not responsible for the content, accuracy, availability, or practices of any third-party service.

Your use of third-party services through the Platform is at your own risk. Any transactions, agreements, or disputes between you and a third-party provider are solely between you and that provider.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components. We do not guarantee any specific results from using the Platform, including but not limited to successful fundraising outcomes, investor introductions, or AI analysis accuracy.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Catalyst and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit to the Platform.

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the rules of the applicable arbitration authority in the jurisdiction of our principal place of business.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, or representative proceeding.

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, abuse of the outreach system, or inactivity for an extended period.

You may terminate your account at any time by contacting us at hello@catalyst.xyz. Upon termination, your right to use the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Catalyst regarding the Platform.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
